1. Acceptance of the terms
By accessing and using the services of Elykia LLC ("Elykia", "we"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access the service.
2. Description of the service
Elykia is a marketing attribution and analytics platform that lets users connect their advertising accounts and obtain real performance reports, deduplicated and free of the biases of the native platforms.
3. User accounts
To use the service you must create an account providing accurate and complete information. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
4. Your buyers' data and consent
As part of the service, Elykia makes available to the Client a measurement script ("tracker") that the Client may install on their store in order to attribute their sales correctly. This script uses first-party cookies and identifiers on the Client's store domain, as described in the Privacy Policy.
The Client, in its capacity as Data Controller of its buyers' personal data, is solely responsible for: (a) disclosing the use of these measurement and attribution technologies in its own store's privacy and/or cookie policy; and (b) obtaining from its buyers any consent legally required under the regulations applicable in the jurisdictions where it operates. Elykia does not verify or guarantee the Client's compliance with these obligations, and the Client shall hold Elykia harmless against third-party claims arising from its non-compliance.
Section 4 of the Privacy Policy (Sub-processors, International Transfer and Data Processing Roles) forms an integral part of these Terms and constitutes the data processing agreement between the parties.
5. Payments, Currency, Taxes and Local Withholdings
Prices and currency:
All Platform prices and subscription fees are stated net of taxes. Fees may be set and invoiced in United States dollars (USD) or Argentine pesos (ARS), as agreed in the corresponding commercial proposal or payment interface.
Exchange rate clause:
Where the base fee is set in United States dollars (USD) but Elykia enables the option to pay in Argentine pesos (ARS), the exact amount payable will be calculated using the exchange rate previously agreed with the Client (for example, the Dólar MEP rate) in force at the time the payment is credited.
Client's tax responsibility:
As Elykia LLC is an entity incorporated abroad, the Client resident in Argentina is solely and exclusively responsible for settling, declaring and paying any local tax, advance collection, currency levy (e.g. Impuesto PAIS) or withholding (e.g. AFIP or ARBA regimes) levied on payment for the service, regardless of whether payment is made in USD or ARS.
No deductions:
Under no circumstances may the Client deduct amounts corresponding to taxes, local advance collections or bank transfer fees from the final fee invoiced by Elykia LLC.
Refunds:
The refund guarantee, where applicable as commercially offered, may only be requested within the first three (3) months from the date the Client's account was created. After that period, payments made are non-refundable.
The amount to be refunded will be the amount actually received by Elykia, net of the commissions, charges and processing costs applied by the payment platforms and other intermediaries involved, both on the original collection and on the withdrawal and remittance of the refund. Those commissions are borne by the Client and do not form part of the refunded amount.
6. Intellectual property
All content, software, designs, branding and technology of the platform are the exclusive property of Elykia LLC and are protected by applicable intellectual property laws. Their reproduction, distribution or commercial use without prior written authorisation is prohibited.
7. Limitation of liability
Elykia provides the service "as is". In no event shall we be liable for indirect, incidental, special or consequential damages arising from the use of or inability to use the service, even if we have been advised of the possibility of such damages. The analyses and reports are decision-support tools and do not constitute financial advice.
8. Payment and billing
Subscription plans and their prices are communicated at the time of contracting. Elykia reserves the right to change prices with prior notice. Non-payment may result in suspension of access to the service.
9. Termination
We reserve the right to suspend or close accounts that breach these terms, without prior notice. You may cancel your account at any time by contacting us.
10. Governing law
These terms are governed by the laws of the State of Wyoming, United States. Any dispute shall be submitted to the jurisdiction of the competent courts of that state. The foregoing does not affect the rights granted to data subjects by the applicable data protection regulations (including Argentina's Law No. 25,326).
